Partner terms

Last updated: 19 October 2026

These terms apply to the TydeX partner programme. By creating a partner account, you agree to them. Please read them carefully.

1. Who these terms are between

1.1 These terms are between you, the partner, and Anchor Digital Ltd, trading as TydeX, a company registered in England and Wales with company number 16225031, whose registered office is at 12 Parklands Avenue, Goring-By-Sea, Worthing, England, BN12 4NH ("TydeX", "we" or "us").

1.2 If you join on behalf of a firm, you confirm that you have authority to bind it, and "you" means the firm.

2. Definitions

TermMeaning
CompanyA company or other organisation that you introduce to us.
IntroductionA Company that starts a valuation through your referral link, or that you add in your partner portal with its permission, and that meets clause 4.
Credit Period12 months from the date of an Introduction.
LicenceAny licence, sale or other grant of rights over a Company's records that the Company signs with a buyer during the Credit Period.
Licence ValueThe amount a buyer pays to the Company for a Licence, before VAT.
TydeX FeeThe fee TydeX receives from the Company for that Licence, before VAT.
Referral FeeThe fee we pay you under clause 5.

3. Joining and your account

3.1 To join, you must be at least 18, give accurate details, and confirm your email address with the code we send you.

3.2 Keep your sign-in email secure. You are responsible for activity in your partner account.

3.3 We may decline an application, or pause an account while we look into a possible breach of these terms.

4. What counts as an Introduction

4.1 An Introduction counts only if:

  1. the Company starts a valuation through your referral link, or you add it in your partner portal;
  2. the Company has agreed to be introduced to us; and
  3. we were not already in contact with the Company about licensing its records before your Introduction.

4.2 If two partners introduce the same Company, the first Introduction counts.

4.3 If a Company visits through more than one partner's link, the first partner's link counts for 90 days from that visit.

4.4 No Referral Fee is payable for a Company that you own or control, or of which you are a director or a member of staff.

4.5 We will tell you in your portal if an Introduction is not accepted, and why.

5. Your Referral Fee

5.1 For each Licence a Company signs during the Credit Period, we will pay you 10% of the Licence Value.

5.2 Your Referral Fee is never more than one third of the TydeX Fee for that Licence.

5.3 Your Referral Fee includes any VAT due. If you are registered for VAT, you will give us a VAT invoice for the Referral Fee, and the VAT is included in the amount we pay.

5.4 No Referral Fee is payable if no Licence is signed, if the Company does not pay, or if we do not receive the TydeX Fee.

5.5 If a buyer pays the Company in stages, your Referral Fee is worked out and paid on each stage we receive.

6. When and how you are paid

6.1 We pay each Referral Fee within 14 days of receiving the TydeX Fee it relates to.

6.2 We pay by bank transfer, in pounds sterling, to the account in your partner portal. If a Licence is paid in another currency, your Referral Fee is worked out at the exchange rate TydeX receives.

6.3 We are not responsible for a payment sent to the bank details in your portal if those details were wrong or out of date. If your payment details change, we may confirm the change with you before we pay.

6.4 If the Company is repaid any of the Licence Value, or we have to refund any of the TydeX Fee, we may deduct the matching part of your Referral Fee from future payments, or ask you to repay it within 30 days.

6.5 You are responsible for your own tax on any Referral Fee.

7. Telling the Company about your fee

7.1 TydeX tells every Company in writing that a referral fee is paid, and to whom.

7.2 You must also follow any rules of your profession about telling clients when you receive a fee for an introduction, and get any consent those rules require.

8. Office-holders

8.1 We do not pay referral fees, or give any other benefit, to insolvency practitioners or their firms for any case on which they hold office. No Referral Fee is payable on such a case.

9. How you must act

9.1 You must:

  1. only introduce a Company that has agreed to be introduced, and only share contact details you are entitled to share;
  2. describe TydeX accurately, and never promise any price, buyer, timing or outcome;
  3. follow UK marketing law, including the Privacy and Electronic Communications Regulations, when you contact anyone about TydeX;
  4. say that you are a TydeX partner and may receive a fee whenever you share your link publicly, for example on LinkedIn, as the Advertising Standards Authority requires;
  5. not bid on "TydeX" or similar terms in search advertising, or create websites, profiles or accounts that could be mistaken for ours; and
  6. comply with the Bribery Act 2010, and never offer anything of value to encourage an Introduction.

9.2 We may give you approved messages, logos and materials. You may use our name and logo only to describe the partner programme, in the form we provide, and must stop when we ask.

10. Data protection

10.1 You and TydeX are each independent controllers of the personal data shared under these terms.

10.2 When you add an Introduction, you confirm that you are entitled to share the contact's details with us, and that the Company has agreed to the Introduction.

10.3 We will use those details only to discuss the Introduction, as our privacy policy explains.

11. Confidentiality

11.1 Information about Companies, buyers, offers and Licences is confidential. You must not share it, except with the Company concerned.

11.2 We will not share your details with a Company or buyer beyond what is needed to handle your Introduction, and the disclosure in clause 7.

12. Our relationship

12.1 You are an independent introducer. You are not our agent, employee or partner in a legal sense, and you cannot sign anything or make any promise on our behalf.

12.2 Joining does not make you exclusive to us, or us to you.

13. Liability

13.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited or excluded.

13.2 We are not liable for any loss of profit or business, or for any indirect loss.

13.3 Apart from Referral Fees properly due under these terms, our total liability to you in any 12 months is limited to £1,000.

14. Ending

14.1 Either of us can end these terms at any time by email.

14.2 If these terms end, we will still pay Referral Fees for Introductions made before the end date, for Licences signed within their Credit Period.

14.3 If we end these terms because you have seriously breached them, including clause 7, 8 or 9, no further Referral Fees are payable for Introductions affected by that breach.

15. Changes to these terms

15.1 We may change these terms by giving you at least 30 days' notice by email. Changes do not affect Referral Fees for Introductions made before the change takes effect.

15.2 If you do not agree to a change, you can end these terms under clause 14.

16. General

16.1 These terms are the whole agreement between us about the partner programme.

16.2 No one else has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

16.3 We may transfer these terms to a company in the same group as Anchor Digital Ltd that takes over the TydeX business. You may not transfer them.

16.4 Notices may be sent by email: to you at your partner account email, and to us at charlie@tydex.ai.

16.5 These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
