Answer a few questions to see which terms to question.

A checklist based on common terms, not legal advice. Ask a solicitor to review any contract before you sign.

What we check

  • Exclusivity. Whether you can license the same records to anyone else.
  • When you are paid. On signing, on delivery, on acceptance or only after resale are very different promises.
  • Permitted use. Training and testing models is standard. Resale rights are not.
  • De-identification. Who does it, to what standard, and whether you see a sample first.
  • Deletion. What happens to the copy when the licence ends.
  • Governing law. Which country's law applies, and how the data leaves the UK.
  • Deadlines. Whether you have time to compare offers and take advice.
  • Price. Where the offer sits against the market range for companies like yours.

Why one offer is not the market price

Buyers value the same records very differently. Surge AI's Nick Heiner told MIT Technology Review that buyers quote very different prices because valuations rest on "research theses": estimates of how many useful training tasks a dataset can produce. Comparing several written offers is the best way to find the real value.

Questions

Will the buyer know I used this?

No. The tool runs in your browser. We count anonymous usage, but nothing that identifies you or your company is sent anywhere, and nothing goes to any buyer, unless you ask for a second opinion.

Is this legal advice?

No. It is a checklist of common terms. Ask a solicitor to review any contract before you sign.

What happens if I ask for a second opinion?

We reply by email, usually within 2 working days, with what we would ask the buyer. If you want, we can also put your company in front of other buyers so you have offers to compare.
